Deze rare tekst vond ik in de leveringsvoorwaarden van een supplier.
Ik begrijp echt niet wat hij hier nou mee bedoelt!

3. Reservation of Title
3.1 We reserve title in all goods supplied until all claims to payment arising from
the business relationship with the purchaser have been settled in full. The
purchaser is revocably entitled to sell on goods supplied in the course of normal
business. The purchaser hereby assigns to us all claims, including ancillary
rights, to which it is entitled by virtue of selling the goods on. The claims assigned
shall serve as security for all claims under this paragraph. The purchaser
is not authorised to make other disposals over reserved goods, in particular to
pledge or transfer by way of security. It shall notify us without undue delay of
any violation of rights in the items which are our property. If the purchaser is
in default with its payment obligations towards us or if the purchaser infringes
one of the obligations arising from agreed reservation of title, the balance
of the debt shall become due for payment immediately. In this event we are
entitled to demand that the goods be surrendered and to collect this from the
purchaser. The purchaser has no right of possession.
3.2 The purchaser is permitted to process or transform the reserved goods and
combine these with other items. Processing or transformation shall be carried
out for ourselves. We will become the direct owners of the item produced as a
result of such processing or transformation. The processed or transformed item
shall be deemed to be reserved goods. If the reserved goods are processed,
transformed or combined with other merchandise which is not our property
we shall have joint ownership in the resultant new product in the ratio of the
value of the processed, transformed or combined reserved goods to the value
of the new product. The portion of the claim assigned to us shall have precedence
over any other claims.
3.3 If the realisable value of the securities exceeds our claims vis-à-vis the purchaser
by more than 20% we are obliged at the request of the purchaser to release
securities due to him - to be selected by the purchaser - to that extent.
3.4 If reservation of title is claimed, or if we take back or pledge the goods supplied
this shall not constitute withdrawal from the agreement. If the goods are
taken back we are entitled to dispose freely of and realise the goods as well
as possible following prior warning and setting of a reasonable deadline. The
proceeds from such realisation shall be offset against our claims after deduction
of reasonable realisation costs. Any remaining proceeds shall be paid out
to the purchaser.

Welk deel snap je er niet van?

De bepaling houdt onder meer een eigendomsvoorbehoud in: de leverancier blijft eigenaar totdat je hebt betaald. Ze gaan daarin vrij ver: je mag wel doorverkopen, maar alleen als je de rechten die je daaruit krijgt (recht op betaling, dus feitelijk jouw vordering op jouw klant aan de leverancier toebedeelt.

Maar het is een nogal uitgebreide bepaling, dus dat is niet in een paar regels samen te vatten.

ik vind hem zo vaag, eigenlijk wil hem deleten, maar goed.
